Terms and Conditions

These Terms and Conditions (“Terms”) govern the use of products, services, website, and communication platforms provided by Nemasia Private Limited (“Company”, “we”, “us”, “our”). By placing an order or engaging with our services, the customer (“you”, “buyer”, “client”) agrees to these Terms.

1. Business Nature

We supply products for export purposes. All orders are processed, dispatched, and delivered based on compliance with Indian regulations and the destination country’s laws.

2. Order Confirmation

• Orders will be confirmed only after full payment is received.
• Any incomplete payment or banking delays may result in postponement of processing.
• Prices shared in quotations or messages are valid at the time of communication and may change without notice.

3. Payment

• We accept payments through approved banking channels, digital gateways, or designated methods.
• Any bank transfer fees, international fees, or currency conversion costs must be borne by the customer.
• Orders will not be processed until funds reflect in our account.

4. Order Processing Time

• Standard processing time is 48–72 working hours after payment confirmation.
• Festivals, holidays, weekends, peak demand, or supply chain disruptions may cause delays.
• Processing includes packaging, documentation, invoicing, and customs preparation.

5. Product Use Disclaimer

• Our products are supplied strictly for personal use, research, veterinary, or resale based on local laws (as applicable).
• The buyer must ensure that the product is legally permissible in their country.
• We do not accept responsibility for misuse, adverse reactions, or illegal resale.

6. Shipping & Liability

• Shipping is arranged through approved courier or logistics partners.
• Delivery times vary by destination and are not guaranteed.
• Our responsibility ends once the shipment is cleared by Indian customs and handed to the courier (FOB Basis).

7. Customs and Import

• Customs rules vary by country and may change without notice.
• Any import taxes, duties, clearance fees, or regulatory penalties are customer liability.
• We cannot guarantee approval of shipments by foreign customs authorities.

8. Customs Rejection, Return, or Seizure

• If customs returns the parcel, reshipping will be possible only after inspection and customer agreement to pay new shipping charges.
• If the parcel is seized or destroyed by foreign customs, no refund will be provided.
• Returned damaged products will not be eligible for refund or replacement.

9. Risk of Loss

• All shipments operate on Free on Board (FOB) basis.
• After dispatch and Indian customs clearance, all risk transfers to the buyer, including courier delay, loss, or damage.

10. Address and Customer Responsibility

• Buyer must provide accurate shipping details.
• Orders returned due to wrong address, incomplete address, or non-availability will incur extra fees.
• Courier re-routing or address change after dispatch is not guaranteed.

11. Communication & Consent

By placing an order, the customer agrees to receive:

• Order updates
• Shipping status
• Delivery reminders
• Compliance or regulatory communication

Communication may be via WhatsApp, email, SMS, or phone.

12. Website & Digital Platform Usage

• Users must not attempt to hack, scrape, or misuse company platforms.
• The company may restrict access if fraudulent or abusive behavior is detected.
• Price scraping, resale without agreement, or copying product listings is prohibited.

14. Intellectual Property

• Copying, modifying, or misuse of copyrighted material is prohibited.

15. Limitation of Liability

The company is not responsible for:

• Shipping delays caused by courier companies
• Regulatory actions at destination country
• Third-party platform errors
• Payment gateway downtime
• Force majeure events (pandemic, war, disaster, etc.)

Under no circumstance shall our liability exceed the invoice value of the order.

16. Termination of Order

• Suspicion of illegal use
• Violation of import laws
• False customer information
• High-risk payment or fraud
• Disrespectful or abusive communication

Refunds in such cases will be subject to cost deduction.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts located in Nagpur (India).

18. Modifications to Terms

We may update, amend, or revise these Terms at any time without prior notice. The latest version will always be considered valid.
